Terms of Service

These terms are an agreement between you and Nudge (“we”, “us”), operated by Kane Liam Lucas, for your use of the Nudge service at usenudge.co.za. By creating an account or using the service you agree to them. If you do not agree, please do not use the service.
What Nudge is
Nudge helps you create invoices, keep track of what clients owe you, and draft follow-up messages when payments are late. It is an invoicing tool. It is not accounting software, a tax service, a bank, or a debt-collection agency, and it does not provide financial, tax or legal advice.
Your account
- You must give accurate account information and keep it up to date.
- You are responsible for keeping your password safe and for everything that happens under your account.
- You must be at least 18 years old, or the age of majority where you live, to use the service.
- Tell us promptly if you think someone has accessed your account without permission.
Your content and your responsibilities
The invoices, client details, rates and other content you put into Nudge (“your content”) belong to you. You are responsible for it, including making sure it is accurate, that you are entitled to invoice your clients, and that your invoices meet any tax, VAT and record-keeping rules that apply to you. You are responsible for your own tax compliance — the invoice numbering and totals are tools, not tax advice.
Acceptable use
You agree not to:
- Use the service for anything unlawful, fraudulent or misleading.
- Send invoices or messages to people who have not agreed to hear from you, or that break anti-spam or privacy laws.
- Try to break, overload, reverse-engineer or gain unauthorised access to the service or other users’ data.
- Upload anything that infringes someone else’s rights or contains malicious code.
We may suspend or close accounts that break these terms.
Pricing
Nudge is currently free to use. A paid plan will come later for the bigger features. If we introduce paid plans or change pricing, we will tell you in advance and you will be able to decide whether to continue. Members told they have a free-forever plan will keep it on the terms it was offered.
Our intellectual property
The Nudge name, brand, design and software are ours. These terms don’t give you any right to use them beyond using the service as intended.
The service is provided “as is”
We work hard to keep Nudge running well, but we can’t promise it will always be available, uninterrupted or error-free. To the fullest extent allowed by law, the service is provided “as is” without warranties of any kind. You are responsible for keeping your own copies of anything important — for example, by downloading your invoice PDFs.
Limitation of liability
To the fullest extent permitted by law, Nudge will not be liable for any indirect or consequential loss, or for loss of profit, revenue, data or goodwill, arising from your use of (or inability to use) the service, including any invoice that is not paid. Nothing in these terms excludes liability that cannot lawfully be excluded.
Ending your use
You can stop using Nudge at any time and ask us to delete your account. We may suspend or end your access if you break these terms or if we stop offering the service, in which case we will give reasonable notice where we can.
Governing law
These terms are governed by the laws of the Republic of South Africa, and the South African courts will have jurisdiction over any dispute.
Changes to these terms
We may update these terms from time to time. When we make a material change we will update the date at the top of this page and, where appropriate, let you know. Continuing to use the service after a change means you accept the updated terms.
